This note provides an overview of the legal framework governing distribution agreements. It considers the legal and commercial issues relevant to business-to-business distribution agreements, including the application of the Competition and Consumer Act 2010 (Cth) (in particular the Australian Consumer Law (ACL)). It also considers key terms in distribution agreements (such as sale of goods obligations, intellectual property rights, indemnities, limitation of liability and termination). As distributors and product resellers typically perform similar activities, this note is also relevant to reseller agreements.
