Ordinary resolution

A resolution of members (or a class of members) of a company passed by:
  • On a show of hands at a general meeting, a simple majority of members who, being entitled to vote, do so in person or by proxy (section 282(3), Companies Act 2006 (CA 2006)).
  • On a poll at a general meeting, members representing a simple majority of the total voting rights of members who, being entitled to vote, do so in person or by proxy (section 282(4), CA 2006).
  • On a written resolution, a simple majority of the total voting rights of all eligible members (section 282(2), CA 2006).
Anything that may be done by an ordinary resolution may also be done by a special resolution (section 282(5), CA 2006).
