The twelfth edition of the PLC Cross-border Mergers and Acquisitions Handbook brings together a range of information on current cross-border issues, country-specific Q&A guides, and details of recommended M&A lawyers and law firms in jurisdictions around the world.

In our cross-border section this year we look at a number of interesting areas. We provide a chapter focusing on the application and enforcement of EU merger control law by the European Commission and take a look at Switzerland, where the Swiss Financial Supervisory Authority is continuing to apply its recently created rules for the disclosure of interests in listed companies' voting securities. We also look at implementing a public M&A deal using the European Cross-border Merger Directive and examine China's new M&A review rules in comparison with those in the US.

The country-specific Q&A chapters provide practical information on the laws and regulation governing public M&A in 33 key jurisdictions. In particular, they examine current market activity; the regulation of recommended and hostile bids; pre-bid formalities (including due diligence, stakebuilding and agreements); procedures for announcing and making an offer (including documentation and mandatory offers); consideration; post-bid issues (including squeeze-out and de-listing procedures); defending hostile bids; tax issues; other regulatory requirements and restrictions; as well as any proposals for reform.
